NetSuite Cloud Services Contracts – Subscription Services Agreements

This agreement governs orders for NetSuite and Open Air Cloud Services. This Agreement is not applicable to NetSuite Connectors Cloud Services (f/k/a FarApp Connectors), NetSuite CPQ Cloud Services (f/k/a Verenia CPQ), or SuitePeople Workforce Management Cloud Services (f/k/a Adi Insights) - see applicable agreements below.

Your Estimate/Order Form (the “order”) for NetSuite and Open Air Cloud Services identifies the Subscription Services Agreement that governs the order. If your order is placed on or after July 10, 2023 and references the Subscription Services Agreement available at https://www.oracle.com/corporate/contracts/cloud-services/netsuite/, then the July 10, 2023 version of the Subscription Services Agreement applies to that order (refer to the “Agreement” section on the order to identify the specific agreement applicable to, and governing, your order). For any “add-on order” to an original Cloud Services order, the version of the Subscription Services Agreement for Cloud Services in effect on the date of the original order will apply to the add-on order, even if the add-on order is placed after an updated version of the Subscription Services Agreement is published. An “add-on order” is an order that updates the quantity or type of previously ordered Cloud Services, such as by adding capacity, new user subscriptions, or additional SaaS service applications. Prior versions of the Oracle Subscription Services Agreement can be found under the “Archive” tab below.

This agreement governs orders for NetSuite and Open Air Cloud Services. Oracle Subscription Services Agreement for NetSuite Connectors (formerly known as FarApp Connectors)

This agreement governs orders for NetSuite Connectors Cloud Services (f/k/a FarApp Connectors). This Agreement is not applicable to NetSuite and Open Air Cloud Services, NetSuite CPQ Cloud Services (f/k/a Verenia CPQ), or SuitePeople Workforce Management Cloud Services (f/k/a Adi Insights) - see applicable agreements on this page.

Your Estimate/Order Form (the "order") for the NetSuite Connector integration cloud services identifies the Subscription Services Agreement for NetSuite Connectors ("Agreement") that governs the order. If your order is placed on or after July 10, 2023 and references the Agreement available at https://www.oracle.com/corporate/contracts/cloud-services/netsuite/, then the Agreement below applies to that order (refer to the “Agreement” section on the order to identify the specific agreement applicable to, and governing, your order). As outlined in the Agreement, Oracle may revise the Agreement at anytime upon providing notice to You. Such changes will take effect at the beginning of Your next Renewal Term or as otherwise specified in the Agreement. Your continued use and payment of the services will be deemed as Your acceptance of the terms. Oracle Subscription Services Agreement for NetSuite CPQ (formerly Verenia CPQ)

This agreement governs orders for NetSuite CPQ Cloud Services (f/k/a Verenia CPQ). Oracle Subscription Services Agreement for SuitePeople Workforce Management (formerly known as the Subscription Services Agreement for Adi Insights)

This agreement governs orders for SuitePeople Workforce Management Cloud Services (f/k/a Adi Insights). This Agreement is not applicable to NetSuite and Open Air Cloud Services, NetSuite Connectors Cloud Services (f/k/a FarApp Connectors), or NetSuite CPQ Cloud Services (f/k/a Verenia CPQ) - see applicable agreements on this page.

Data Processing Agreement

If your Estimate/Order Form (the ‘order’) for NetSuite and OpenAir Cloud Services incorporates in the Oracle Data Processing Agreement (“DPA”), the applicable DPA can be found by going to the Oracle Cloud Contracting page found at the following URL: https://www.oracle.com/corporate/contracts/cloud-services/contracts.html.

NetSuite Professional Services Agreements

The Online Professional Services Agreement governs certain professional services and training provided by Oracle to Customer.



NetSuite Professional Services Addendums

Online Professional Services Addendum. The Online Professional Services Addendum governs certain professional services and training provided by Oracle to Customer. The Online Professional Services Addendum is incorporated into the Subscription Services Agreement (version June 2019 or later) and the Transactional Subscription Services Agreement (version June 2020 or later). Note that the Oracle Subscription Services Agreement for NetSuite CPQ is subject to the NetSuite CPQ Professional Services Addendums found below.



NetSuite CPQ Professional Services Addendums (formally known as Verenia for NetSuite)

Online Professional Services Addendum for NetSuite CPQ. The Online Professional Services Addendum for NetSuite CPQ governs certain professional services and training provided by Oracle to Customer. The Online Professional Services Addendum for NetSuite CPQ is incorporated into the Subscription Services Agreement for NetSuite CPQ (released in January 2022).

Support Terms and Response Times

NetSuite Support Services. These NetSuite Support Service Terms are the terms under which Oracle provides support for certain online business applications pursuant to the level of support you have procured or are otherwise entitled to. These terms are only applicable to the Cloud Services ordered if referenced in the applicable Agreement or order.

NetSuite Support Services for Oracle Cloud Services.. These are the terms under which Oracle provides support for Oracle Cloud Services as specified in the Oracle NetSuite Service Descriptions.

Supplemental Support Terms for Response Services. This addendum contains supplemental Support Service Terms for NetSuite Response Services that you may be eligible for based on specific requirements set forth in these supplemental terms.

Service Level Commitment (SLC)

Service Level Commitment (SLC) for the NetSuite and OpenAir Cloud Services. These terms represent the Service Level Commitment for certain online business applications pursuant to the terms of your agreement with Oracle. These terms are only applicable to the Cloud Services ordered if referenced in the applicable Agreement or order.

NetSuite Trial Account Agreement

The Trial Account Agreement governs the temporary access to a limited trial, test, training or other demo account of the NetSuite Service that may be provided to you or a partner program member for such party’s non-production use, the duration and scope of which may be further defined in an Estimate / Order Form.



Main Terms of Service

These Main Terms of Service, in conjunction with the Subscription Services Agreement cover the Customer’s usage of the NetSuite Service and OpenAir Service. These Main Terms of Service are applicable to Subscription Services Agreements where the “Terms of Service” in the Agreement referenced a URL link to the online Main Terms of Service.
